11.1 The formation, validity, interpretation, performance and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China.

11.2 Any dispute arising from or in connection with this Agreement shall be resolved through friendly negotiation between the Parties. If negotiation fails, either Party may submit the dispute to [China International Economic and Trade Arbitration Commission (CIETAC) ] for arbitration in accordance with its arbitration rules in effect at the time. The place of arbitration shall be [Beijing, China]. The arbitral award shall be final and binding upon both Parties.
